Section 1: Acceptance of Terms
By accessing or using the CLOZ•me application (the "Service"), provided by Cloz Me Incorporated ("Company," "we," "us," or "our"), you agree to comply with and be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you must not access or use the Service.
Section 2: Definitions
"User" refers to any individual or entity accessing or using the Service.
"Enterprise User" refers to users who purchase and manage enterprise subscriptions.
"Individual User" refers to users who purchase individual subscriptions.
"Service" includes access to the CLOZ•me app and its features, including role-play training, AI coaching, and any associated content.
Section 3: Account Creation and Security
Users are required to create an account to use the Service. Enterprise Users are responsible for managing accounts and payment details directly through the CLOZ•me website. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Any unauthorized sharing of accounts is strictly prohibited.
Section 4: Subscription Plans
We offer the following subscription plans:
Individual Subscription: $29.99/month or $7.99/week, processed exclusively through in-app purchases via the Apple App Store or Google Play Store.
Enterprise Subscription: $149.99/month plus $49/user (minimum of 3 users), processed externally through our secure payment portal on the CLOZ•me website.
Section 5: Free Trials
Individual Users: A 7-day free trial is available, managed through the Apple App Store or Google Play Store.
Enterprise Users: A 14-day free trial is available, managed via the CLOZ•me website.
Section 6: Use of the Service
Users must maintain professionalism and respect during interactions with the AI. Abusive behavior, misuse of the AI, or unauthorized account sharing are grounds for suspension or termination. Enterprise Users must ensure that all custom data entered, such as pricing and branding, is accurate and not misleading.
Section 7: Payment and Cancellation
Subscriptions renew automatically unless canceled by the User prior to the renewal date.
Refunds are available only within 5 days of the initial payment for enterprise subscriptions. Refunds for individual subscriptions are subject to the policies of the Apple App Store or Google Play Store, as applicable.
No proration is available for mid-cycle cancellations.
Individual Users may cancel their subscriptions through the app store, and Enterprise Users may cancel via the CLOZ•me website.
If payment fails, access to the Service may be suspended until payment is successfully processed.
Section 7.1: Payment Policy
CLOZ•me offers two subscription types with distinct payment methods:
Individual Subscriptions:
Payments for individual subscriptions are processed exclusively through the Apple App Store or Google Play Store, depending on the user’s platform.
Individual users can manage and cancel their subscriptions through the respective app store.
Enterprise Subscriptions:
Payments for enterprise subscriptions, which include access to advanced features such as the Content Management System (CMS), are processed externally through the CLOZ•me website.
Enterprise accounts require payment via our secure payment portal, independent of app store billing systems.
By using the Service, users acknowledge and agree to these separate payment systems.
Section 8: Intellectual Property
All content within the Service, including but not limited to text, images, software, and AI-generated materials, are the exclusive property of Cloz Me Incorporated. Users are prohibited from copying, distributing, or modifying any content without our express written consent.
Section 9: Limitation of Liability
To the fullest extent permitted by law, Cloz Me Incorporated shall not be liable for any damages arising from the use or inability to use the Service, including but not limited to direct, indirect, incidental, or consequential damages. Users understand and agree that AI-generated feedback is provided as guidance and does not guarantee success in real-world applications.
Section 10: No Warranties
The Service is provided "as is" and without warranties of any kind, whether express or implied. We make no representations or guarantees that the Service will be error-free, secure, or uninterrupted. Users assume all risks associated with using the Service.
Section 11: Force Majeure
Cloz Me Incorporated will not be held liable for any delay or failure to perform any obligation under these Terms due to events beyond our reasonable control, including but not limited to acts of God, war, natural disasters, internet outages, or governmental regulations.
Section 12: Dispute Resolution
In the event of a dispute arising out of or related to these Terms or the Service, the parties agree to first attempt to resolve the dispute informally by contacting us. If the dispute cannot be resolved informally, the dispute shall be resolved through binding arbitration under the rules of the American Arbitration Association. Any legal action arising out of or related to these Terms shall be filed in Delaware courts, and Delaware law shall govern these Terms.
Section 13: Governing Law
These Terms and any disputes arising out of or related to the Service will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
